1. Introduction

These Terms & Conditions ("Terms") govern your access to and use of the websites, applications, products and services (collectively, the "Services") operated by QuantumRush Private Limited ("QuantumRush", "we", "us" or "our"), a company incorporated under the Companies Act, 2013 (CIN: U62011TS2024PTC189742) with its registered office at [Registered Office Address], India. By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

2. Eligibility

You must be at least 18 years of age and competent to enter into a binding contract under the Indian Contract Act, 1872. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.

3. Services

QuantumRush provides financial consulting, technology and engineering services, and software-as-a-service (SaaS) products including but not limited to TringRX, Tring91 and For Wedding Bells. Specific products may be subject to additional product-specific terms, which form part of these Terms. We may add, modify, suspend or discontinue any part of the Services at any time.

4. Accounts & Registration

Certain Services require an account. You agree to provide accurate, current and complete information and to keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately at contact@quantumrush.in of any unauthorised use.

5. Fees & Payments

Fees for paid Services are described at the point of purchase or in a separate order form or agreement. Unless stated otherwise, all fees are exclusive of applicable taxes (including GST), which you are responsible for paying. Payments are processed through third-party payment gateways; by making a payment you also agree to the terms of the relevant payment processor. Except as required by law or our Refund & Cancellation Policy, fees are non-refundable.

6. Acceptable Use

You agree not to misuse the Services, including by: (a) violating any applicable law or regulation; (b) infringing the rights of others; (c) transmitting unlawful, harmful or unsolicited communications (including in breach of WhatsApp Business or messaging platform policies); (d) attempting to gain unauthorised access to our systems; or (e) interfering with the integrity or performance of the Services.

7. Intellectual Property

All content, software, trademarks and materials comprising the Services are owned by QuantumRush or its licensors and are protected by applicable intellectual property laws. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to use the Services for their intended purpose. No other rights are granted.

8. Third-Party Services

The Services may integrate with or link to third-party services (such as WhatsApp Business API, cloud providers and payment gateways). We are not responsible for the availability, content or practices of such third parties, and your use of them is governed by their own terms.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied, to the maximum extent permitted by law. We do not warrant that the Services will be uninterrupted, error-free or secure. Consulting outputs are advisory and do not constitute legal, tax or investment advice.

10. Limitation of Liability

To the maximum extent permitted by law, QuantumRush and its directors, employees and affiliates shall not be liable for any indirect, incidental, special, consequential or punitive damages, or loss of profits, revenue, data or goodwill. Our aggregate liability arising out of or relating to the Services shall not exceed the amounts paid by you to QuantumRush for the relevant Service in the three (3) months preceding the claim.

11. Indemnification

You agree to indemnify and hold harmless QuantumRush against any claims, damages, liabilities and expenses arising from your breach of these Terms or your misuse of the Services.

12. Termination

We may suspend or terminate your access to the Services at any time for breach of these Terms or where required by law. Provisions that by their nature should survive termination will survive.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of India. Subject to applicable law, the courts at [City], Telangana, India shall have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be notified through the Services or by other reasonable means. Continued use after changes take effect constitutes acceptance.
